Tax Advisory

Tax is often where transactions, restructurings and disputes become real.

Our experience includes extensive joint work with tax advisers on transaction structuring, group restructurings, tax-driven reorganisations, due diligence, tax litigation, tax authority disputes and implementation work.

JUGLANS does not try to replace specialist tax advisers where specialist tax advice is needed. Instead, we work closely with tax teams to connect the legal, corporate, contractual and implementation sides of a matter with the tax analysis.

Selected experience includes:

Transaction structuring

Joint work with tax advisers on M&A structures, acquisition structures, disposals, business transfers and group reorganisations.

Tax aspects of M&A

Support on the legal and contractual side of tax-sensitive transaction structures, including due diligence findings, risk allocation, warranties, indemnities and closing mechanics.

Group restructurings

Experience with restructurings where corporate, financing, commercial and tax considerations had to be managed together.

Tax-driven reorganisations

Joint work with tax advisers on reorganisations, mergers, divestitures, intra-group transfers and other structural changes.

Tax litigation and disputes

Experience working alongside tax advisers in tax litigation, tax authority disputes and contentious tax-related matters.

Commercial and contractual tax risk allocation

Support in translating tax positions into contractual protections, including price adjustment mechanisms, indemnities, covenants and cooperation obligations.

Implementation support

Experience helping turn tax and legal structuring decisions into implementable corporate steps, documentation, approvals, filings and transaction mechanics.

Cross-functional coordination

Work connecting tax advisers, legal teams, finance teams, management and external stakeholders so that the tax structure, legal documents and business implementation move in the same direction.
