The Role
Are you an experienced corporate and M&A lawyer who enjoys complex transactions, international work and direct client responsibility?
JUGLANS is looking for a Corporate/M&A Director to help lead our corporate and transaction work. This is a senior role for someone who can combine technical legal excellence with commercial judgement, ownership and the ability to move matters forward at pace.
You will work with founders, investors, corporate groups and management teams on acquisitions, disposals, reorganisations, corporate structuring and strategic projects. You will also play an important role in shaping the growth, client base and market position of JUGLANS.
Responsibilities
Lead and deliver corporate and M&A matters, including acquisitions, disposals, restructurings, joint ventures and group reorganisations.
Advise clients across the full transaction lifecycle, from structuring and due diligence to negotiation, signing, closing and implementation.
Draft, review and negotiate transaction documents, corporate documents and commercial agreements.
Coordinate multidisciplinary workstreams, including tax, finance, regulatory, employment and specialist advisory input.
Provide clear, practical and commercially focused advice to founders, boards, investors and senior management.
Identify legal, commercial and execution risks and translate them into workable options and recommendations.
Manage client relationships with confidence, responsiveness and senior-level ownership.
Support business development, client targeting, proposals and relationship-building.
Contribute to JUGLANS thought leadership, market positioning and service development.
Help build and mentor a high-performing corporate and transaction team.
Qualifications
Hungarian law degree and at least 7 years of relevant professional experience in corporate law, M&A and transactions.
Strong experience gained at a reputable law firm; international law firm or Big4 Legal experience is preferred.
Proven track record in domestic and cross-border M&A, corporate restructurings and complex corporate matters.
Excellent drafting, negotiation and transaction-management skills.
Strong command of English, including legal drafting and client communication.
Commercial mindset: able to understand the business context, not only the legal question.
Confident communicator with the ability to explain complex issues clearly to senior stakeholders.
Comfortable taking ownership of matters and working directly with clients.
Organised, precise and calm under deadline pressure.
Entrepreneurial mindset and interest in helping build a growing legal and advisory platform.
